Responsibilities 

  • Provide support and assistance to the department in handling a full spectrum of company secretarial duties for two Hong Kong listed companies and their subsidiaries to ensure compliance with all applicable laws and regulations.

  • Assist in preparing annual/interim reports, announcements, circulars and other related documents.

  • Attend to the statutory and regulatory filings, disclosures, and reporting with regulatory bodies.

  • Maintain and update the secretarial and statutory records.

  • Assist in organizing board, board committees and shareholders meetings, including preparation of notice, agenda, minutes/resolutions and other associated documents.

  • Liaise and coordinate with internal and external stakeholders.

  • Assist in ad-hoc projects and assignments as required.

Requirements

  • Bachelor’s degree holder.

  • Associate Membership with HKCGI/CGI.

  • At least 8 years’ solid company secretarial experience, gained from reputable listed companies or professional firms.

  • Sound knowledge in Hong Kong Listing Rules, Securities and Futures Ordinance, Companies Ordinance, BVI Companies Act and secretarial practices for companies incorporated in Hong Kong and BVI.

  • Proficient in Microsoft Office applications, including word processing, PowerPoint and Excel.

  • Proactive, self-motivated and detail-minded team player with a strong sense of responsibility, good interpersonal and communication skills.

  • Good problem-solving skills, with the ability to manage multiple tasks concurrently.

  • Good command of written and spoken Chinese and English, Mandarin is preferred.
