Responsibilities

Manage and handle the full spectrum of company secretarial duties for two Hong Kong listed companies and their subsidiaries to ensure compliance with all applicable laws and regulations.

Coordinate and support board, board committees and shareholders’ meetings, including preparation of notice, agenda, minutes/resolutions and other associated documents.

Prepare annual/interim reports, announcements, circulars and other related documents.

Monitor changes and developments in relevant laws, regulations and governance requirements, and recommend appropriate actions to ensure ongoing compliance.

Oversee the timely preparation and submission of statutory filings and ensure the proper maintenance of corporate records and statutory registers.

Review and provide guidance on the work of assistant managers to ensure accuracy, quality, and timely completion.

Liaise and coordinate with internal and external stakeholders.

Participate in ad-hoc projects and assignments as required.
Requirements

Bachelor’s degree in Corporate Governance, Business Administration, or related discipline.

Associate Membership with HKCGI/CGI.

Minimum 10 years of solid company secretarial experience, gained from reputable listed companies or professional firms.

Sound knowledge in Hong Kong Listing Rules, Securities and Futures Ordinance, Companies Ordinance, BVI Companies Act and secretarial practices for companies incorporated in Hong Kong and BVI.

Proficient in Microsoft Office applications, including word processing, PowerPoint and Excel.

Proactive, self-motivated, detail-oriented, and able to work independently as well as collaboratively within a team.

Strong interpersonal, communication, organizational, and problem-solving skills, with the ability to manage multiple priorities effectively.

Good command of written and spoken Chinese and English, Mandarin is preferred.
